American Industrial Partners entered into a definitive agreement to acquire Goss International Corporation from Shanghai Electric (Group) Corp. and Shanghai Mechanical & Electrical Industry Co., Ltd. (SHSE:600835) on July 31, 2015. American Industrial Partners will acquire 93.63% stake from Shanghai Electric (Group) Corp., 6.37% stake from Shanghai Mechanical & Electrical Industry. The transaction is subject to successfully achieving appropriate regulatory approvals and meeting certain closing conditions. The transaction is expected to close within the next 60 to 90 days. Clare Porter of The Bespoke Agency acted as PR advisor for transaction. PricewaterhouseCoopers LLP acted as accountant for Shanghai Electric (Group) Corp. and Shanghai Mechanical & Electrical Industry Co., Ltd. Neil Torpey, Jia Yan, Joyce Du, Cecilia Wang, and Jennifer Cheng of Paul Hastings acted as legal advisors for Shanghai Electric (Group) Corporation and Shanghai Mechanical. Baker Botts L.L.P. acted as the legal advisor and Carolina Joop and Beatriz Dias Bistulfi of Demarest acted as the legal advisors to American Industrial Partners.
