duly passed as an ordinary resolution of the Company.

Notes:

(1) As at the date of the EGM, SINOTRANS & CSC Holdings Corporation Limited held an aggregate of
2,461,596,200 Domestic Shares and 88,000,000 H Shares of the Company respectively. SINOTRANS & CSC Holdings Corporation Limited and its associates were required to abstain and have abstained from voting on the ordinary resolution at the EGM.
(2) The total number of shares of the Company entitling the holders to attend and vote for or against the ordinary resolution at the EGM: 2,056,887,000 H Shares. Every member present in person or by proxy has one vote for every share of which he is the holder.
(3) The total number of shares entitling the shareholder of the Company to attend and abstain from voting in favour of any resolution at the EGM pursuant to Rule 13.40 of the Rules Governing the Listing of the Securities on The Stock Exchange of Hong Kong Limited (the "Listing Rules"): Nil.
(4) Save as SINOTRANS & CSC Holdings Corporation Limited, no shareholder of the Company was required under the Listing Rules to abstain from voting at the EGM.
(5) Deloitte Touche Tohmatsu CPA LLP acted as the scrutineer for the vote-taking at the EGM.
