TREC Brands Inc. entered into a definitive agreement to acquire Agripharm Corp. from SLANG Worldwide Inc., Green House Holdings North America Inc and Canopy Growth Corporation.

TREC Brands Inc. entered into a definitive agreement to acquire Agripharm Corp. from SLANG Worldwide Inc. (CNSX:SLNG), Green House Holdings North America Inc and Canopy Growth Corporation (TSX:WEED) on October 7, 2021. As reported, SLANG Worldwide has agreed to sell its share of the equity of Agripharm in exchange for 1,050,000 common shares of TREC Brands Inc. The consideration for the sale of SLANG Worldwide's investment is subject to certain adjustments based on the working capital of Agripharm to be finalized 90 days after the closing of the transaction.

The transaction is expected to close as early as January, pending required regulatory approvals and other customary closing conditions. Stefan Timms of Borden Ladner Gervais LLP acted as legal advisor to Green House Holdings North America Inc.
