RESIGNATION OF CHIEF EXECUTIVE OFFICER AND GENERAL MANAGER

CO-OPTATION OF A NEW DIRECTOR AND APPOINTMENT OF NEW CHIEF EXECUTIVE OFFICER AND GENERAL MANAGER

• Chief Executive Officer and General Manager Carlo Ferraresi resigns from office
• Board of Directors appoints Samuele Marconcini by co-optation.

Verona, 28 luglio 2022. Cattolica Assicurazioni announces that on July 27, and effective September 1, 2022, Carlo Ferraresi tendered his resignation from the position of Director and Chief Executive Officer of the Company due to supervening professional commitments; Mr. Ferraresi will in fact assume, as of next September 1, 2022, the position of Group Chief Risk Officer in the Parent Company Assicurazioni Generali S.p.A., incompatible with the position he has held in Cattolica until now. At the same time, his employment relationship, as an executive with the title of General Manager, with Cattolica will also cease. Ferraresi will also forfeit all other positions held in companies controlled by Cattolica.

It should be noted that, as of the date of resignation, Ferraresi did not hold shares in the Company.

In view of the resignation of Carlo Ferraresi, Cattolica's Board of Directors, which met today, appointed by co-optation, pursuant to Article 2386 of the Italian Civil Code and Article 24.1 of the Articles of Association, Samuele Marconcini to the position of Director. The co-optation will be effective as of next September 1, once Ferraresi's resignation becomes effective.

Marconcini, who currently holds the position of Deputy General Manager and COO of the Company in addition to the roles of CEO of Cattolica services, Chiarman of Cattolica Beni Immobili and Deputy Chairman of Tua Assicurazioni, will be - also effective September 1, 2022 - granted management powers, thus acquiring the position of Chief Executive Officer and General Manager of the Company.

The Board of Directors has, moreover, requested the Chairman, with the support of the designated corporate structures, to negotiate with Ferraresi the relevant economic terms of exit, in line with the current Remuneration Policies and always in the best interest of the Company.

Samuele Marconcini, designate Chief Executive Officer of Cattolica Assicurazioni, commented: "I am honoured by this new position that the Board of Directors has conferred on me. Over these years I have been able to get to know and appreciate the qualities of Cattolica and its people, and I am certain, even in this new role, that I will be able to count on the commitment and dedication of everyone to meet the challenges ahead. The Board of Directors found that Samuele Marconcini met the requirements of professionalism and honourability set forth in the current regulations as well as in the current Fit&Proper policy.

As of today's date, Dr. Samuele Marconcini does not hold any shares in the Company.
