PT Aplikasi Karya Anak Bangsa acquired PT. Tokopedia on May 17, 2021. Post acquisition, the two companies merged to form GoTo Group. Gojek's Andre Soelistyo will lead the combined business as GoTo Group Chief Executive Officer with Tokopedia's Patrick Cao serving as GoTo Group President. Kevin Aluwi will continue as Chief Executive Officer of Gojek and William Tanuwijaya will remain Chief Executive Officer of Tokopedia. In addition to his Group responsibility, Andre will continue to lead payments and financial services. The companies said the deal was Indonesia's biggest ever, based on historical fundraising rounds for Gojek, priced in 2019 and Tokopedia, priced in early-2020, that put the combined past valuations of both companies at $18 billion. The GoTo Group has a roster of supportive blue-chip investors including Alibaba Group, Astra International, BlackRock, Capital Group, DST, Facebook, Google, JD.com, KKR, Northstar, Pacific Century Group, PayPal, Provident, Sequoia Capital India, SoftBank Vision Fund 1, Telkomsel, Temasek, Tencent, Visa and Warburg Pincus. Goldman Sachs & Co. LLC acted as financial advisor to Gojek. PT Aplikasi Karya Anak Bangsa completed the acquisition of PT. Tokopedia on May 17, 2021. Following the merger, Gojek's shareholders are to receive 58% of the new venture's ownership and Tokopedia's holders the remaining 42%. The merger has already been approved by shareholders of both startups, which include Google and Alibaba. Indonesia's anti-trust agency (KPPU) will scrutinize the transaction.
