SoftCamp Co., Ltd. announced a private placement of series 2 non-guaranteed private equity convertible bonds with bearer type interest part for an aggregate gross proceeds of KRW 10,000,000,000 on July 8, 2021. The transaction includes participation from new investors Rhinos Plain Vanilla Professional Investment Private Equity Investment Trust No. 3 for KRW 1,000,000,000, Rhinos Mezzanin2e Private Equity Investment Trust No. 7 for KRW 1,500,000,000, Rhinos Mezzanine Private Equity Investment Trust No. 8 for KRW 2,300,000,000, Rhinos KOSDAQ Venture Mezzanine Professional Investment Private Equity Investment Trust No. 3 for KRW 2,200,000,000, Focus Mezzanine Alpha Specialized Investment Criminal Equity Trust No. 1 for KRW 400,000,000, Focus SY Fortress KOSDAQ Venture Professional Investment Private Equity Trust No. 1 for KRW 600,000,000, Focus M KOSDAQ Venture Professional Investment Private Equity Trust No. 1 for KRW 700,000,000, Focus N Mezzanine KOSDAQ Venture Specialized Investment Type Private Equity Trust No. 1 for KRW 300,000,000, and Focus New Deal Plus Professional Investment Private Equity Trust No. 1 for KRW 1,000,000,000, funds managed by Focus Asset Management Co., Ltd. The bonds carry zero coupon rate and will mature on July 12, 2026. The bonds are redeemable. The bonds are fully convertible into 2,201,188 common shares of the company at conversion price of KRW 4,543 per share. The conversion period will start from July 12, 2022 and ends on June 12, 2026. The transaction is expected to close on July 12, 2021. The transaction has been approved by the board of directors of the company.
