On October 14, 2021, Carl C. Icahn announced that he plans to start a tender offer for shares in Southwest Gas Holdings Inc. and launch a proxy battle to replace the directors on the Company's board. Carl C. Icahn stated that he intends to initiate a tender offer for outstanding shares of the Company at $75.00 per share in cash, it said in an open letter to Company shareholders. Carl C. Icahn added that he also commences a proxy contest to elect a full slate of directors at the 2022 annual meeting of the Company's stockholders.
