ANNOUNCEMENT

Pursuant to the provisions in force of the legal and regulatory framework and following the announcement of 13 November 2023, "SPACE HELLAS S.A. TELECOMMUNICATIONS, IT, SECURITY SYSTEMS AND SERVICES - PROVISION OF SECURITY SERVICES PRIVATE ENTERPRISE" (hereinafter "SPACE HELLAS") announces the following:

On 22 December 2023, it has been registered in the General Commercial Registry (G.E.MH.) with a Code Registration Number 3949731, the decision of the G.E.MH. Service of the Thessaloniki Chamber of Commerce and Industry under the number 1007/22.12.2023 (ΑΔΑ: 6ΡΔΣ469ΗΡΘ-ΒΘΨ) under which the spin-off of the sector of the provision of services and sales of integrated systems in businesses of retail and fuel (hereinafter the "Sector Retail & Fuel") of the company "SINGULARLOGIC S.A.", subsidiary of "SPACE HELLAS" and its contribution to the company "EPSILON SINGULARLOGIC S.A.", with G.E.MH. number 157876205000, subsidiary of "EPSILON NET S.A." with the issuance of 2,290,076 new common nominal shares of "EPSILON SINGULARLOGIC S.A." of a nominal price of €1.00 and issuance price of €1.31 each (hereinafter the "New Shares") to "SINGULARLOGIC S.A.", according to the applicable provisions of LAW 4601/2019 and LAW 4172/2013, has been approved.

The approval of the above spin-off of the Sector Retail & Fuel has the following results:

• The spin-off of the Sector Retail & Fuel of SINGULARLOGIC S.A. with spin-off financial sheets date the 31 October 2023 and its contribution to the beneficiary EPSILON SINGULARLOGIC S.A. has been concluded. As a result, EPSILON SINGULARLOGIC S.A. is substituted as a total successor to the total property transferred, as such is reflected in the balance sheet of the Sector Retail & Fuel (on 31 October 2023) and being provided until the date of the completion of the spin-off.
• The share capital of EPSILON SINGULARLOGIC S.A. has been increased to the amount of €2,290,076 with the issuance of the New Shares for the benefit of SINGULARLOGIC S.A. which contributed the Sector Retail & Fuel.

Finally, on the same date, i.e., 22 December 2023, the transfer of the New Shares to EPSILON NET S.A. from SINGULARLOGIC S.A. has been completed against the agreed price of € 3,000,000.00, totally paid.
