SPRIX, Ltd. (TSE:7030) agreed to acquire Shonan Seminar Co., Ltd. from Yukon No. 1 Fund L.P. managed by Yukon Capital Partners, Shonan Seminar Employee Stock Ownership Association, Kenichi Fukumura,Ayumu Nakajima and Tatsunori Masuei for ¥4.5 billion on November 13, 2020. As per terms, Yukon No. 1 Investment Limited Partnership, Shonan Seminar Employee Stock Ownership Association, Kenichi Fukumura,Ayumu Nakajima and Tatsunori Masuei will sell 90.7%, 4.6%, 2.7%, 1.1% and 0.9% stake respectively. As a result of the acquisition of shares, Shonan Seminar Co., Ltd. will become a consolidated subsidiary of SPRIX, Ltd. For the year ended May 31, 2020, Shonan Seminar Co., Ltd. reported total assets of ¥8.46 billion, net assets of ¥1.54 billion, total sales of ¥14.34 billion, operating income of ¥70.98 million, net loss of ¥181.09 million and EBITDA of ¥805.03 million. The transaction is expected to close on December 25, 2020.
