Grant of Options under 2019 Share Scheme

Staffline, the recruitment and training organisation, announces the grant of options to employees as part of its Save As You Earn ("SAYE") share scheme for 2019. The scheme is open to all permanent employees who have completed at least six months con nuous service, giving them the opportunity to par cipate in the future growth of the Group via share option arrangements.

Eligible employees were invited to subscribe for op ons over Staffline's ordinary shares of 10p each ("Ordinary Shares") with an exercise price of 76.664p, a 20% discount to the closing middle market price of 95.830p on the trading day before the invita on to par cipate was made. The op ons have a contract start date of 1 December 2019 and are exercisable between 1 December 2022 and 1 June 2023.

A total of 170 employees elected to par cipate, and, pursuant to these elec ons, a total of 1,336,094 op ons over Ordinary Shares were granted on 6 November 2019, equa ng to 1.94% of the current issued share capital of 68,930,486 shares. The vast majority of these shares are expected to be sa sfied from the 1,140,400 Ordinary 10p Shares currently held by the Employee Benefit Trust, with the remainder required to be satisfied from the issue of new shares.
