Item 5.03 Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.

On May 31, 2022, Sterling Construction Company, Inc. (the "Company") filed with the Delaware Secretary of State an amendment (the "Certificate of Amendment") to the Company's Restated Certificate of Incorporation to change the name of the Company to Sterling Infrastructure, Inc. effective as of June 1, 2022 (the "Name Change"). Other than the Name Change, no changes were made to the Company's Restated Certificate of Incorporation. A copy of the Certificate of Amendment is attached as Exhibit 3.1 hereto and is incorporated by reference herein.

In connection with the Company's Name Change, the Company's board of directors amended the Company's Amended and Restated Bylaws to reflect the Name Change, also effective on June 1, 2022. Other than the Name Change, no changes were made to the Amended and Restated Bylaws. A copy of the Amended and Restated Bylaws reflecting this amendment is attached as Exhibit 3.2 hereto and is incorporated by reference herein.

Item 7.01 Regulation FD Disclosure.

The Company is furnishing presentation materials regarding the Company's business and financial performance that will be used, in whole or in part, at a presentation to investors on June 2, 2022. The presentation is being furnished with this Current Report on Form 8-K as Exhibit 99.2 and is incorporated herein by reference.

Item 8.01     Other Events.

The Company issued a press release on May 31, 2022 announcing the Name Change to Sterling Infrastructure, Inc. effective on June 1, 2022, and that the ticker symbol (NasdaqGS: STRL) and CUSIP number (859241101) for the Company's Common Stock, $0.01 par value per share (the "Common Stock"), will not change as a result of the Name Change. The Company expects the Name Change to have a Nasdaq marketplace effective date of June 2, 2022 and expects its Common Stock to begin trading under the new company name on that date. A copy of the press release is attached as Exhibit 99.1 hereto and incorporated herein by reference.
