On December 9, 2021, SuRo Capital Corp. entered into an underwriting agreement by and between the Company and Ladenburg Thalmann & Co. Inc., as representative of the several underwriters named in Schedule I thereto (the Underwriters), in connection with the issuance, offer and sale of $70,000,000 aggregate principal amount of the Companys 6.00% Notes due 2026 (the Notes). In addition, pursuant to the Underwriting Agreement, the Company granted an option to the Underwriters to purchase up to an additional $10,500,000 aggregate principal amount of the Notes. The offering of the Notes was made pursuant to the Companys effective shelf registration statement on Form N-2 (File No. 333-239681), the preliminary prospectus supplement filed with the Securities and Exchange Commission on December 9, 2021, the pricing term sheet filed with the Securities and Exchange Commission on December 10, 2021 and the final prospectus supplement dated December 9, 2021. The transaction is expected to close on December 17, 2021, subject to customary closing conditions.

The Company's investment objective is to maximize its portfolio's total return, principally by seeking capital gains on its equity and equity-related investments, and to a lesser extent, income from debt investments. The Company invests principally in the equity securities of what it believes to be rapidly growing venture-capital-backed emerging companies. The Company may invest in these portfolio companies through offerings of the prospective portfolio companies, transactions on secondary marketplaces for private companies, or negotiations with selling stockholders.
