5.Details of occurrence (including the matter under dispute):On March 8,
2022, the Company disclosed the material information pertaining to its
ex-chairwoman. The reporting described that during her tenure as the
chairwoman of the Company and its wholly-owned subsidiary, Tailin
Investment Company Limited, Ms. Lin, Chin-Yen allegedly violated
offenses of breach of trust and Securities and Exchange Act. After
investigation, the prosecutor's office decided not to proceed with
prosecution. Further clarification pertaining to the prosecutor's
decision is as follows: On February 25, 2022, Taiwan Taipei District
Prosecutor's Office confirms not to proceed with prosecution
(documentation date by clerk: March 8, 2022). For the breach of trust,
it is not subject to reconsideration and therefore, it is confirmed
that no prosecution shall be pursued. For the violation of Securities
and Exchange Act, the prosecutor shall ex officio send the ruling for
reconsideration. As per the meticulous investigation detailed in the
disciplinary citation by the prosecutor, the ex-chairwoman, Ms. Lin,
Chin-Yen indeed did not violate Securities and Exchange Act and offenses
of breach of trust, which is consistent with the previous news reporting.
The prosecutor's decision not to pursue prosecution proves Ms. Lin's
innocence, as well as the Company's in not violating any regulations
handling the matter. To inform the investor community and implement
the principle of information disclosure, the Company thus issue this
clarification.
