On March 18, 2024, Transat A.T. Inc announced that it has received 5 shareholder proposals from Shareholders' Education and Defense Movement in which 2 proposals (1) the Company?s annual shareholder meetings be held in person, virtual meetings being in addition to, not in replacement of, in-person meetings, (2) the board of directors inform the shareholders and all stakeholders of the actions it has taken to increase the level of satisfaction with its compensation policy, will be presented at the 2024 Annual And Special Meeting of Shareholders to be held on April 23, 2024 and the board urged shareholders to vote against the 2 proposals. The Company stated that following discussions with Shareholders' Education and Defense Movement, it has agreed to withdraw 3 of its proposals and not to be voted on at the Meeting: (1) the Board of Directors consider the appropriateness of introducing a new incentive compensation guideline linking a portion of the compensation of all employees to the organization?s performance on its principal ESG objectives, (2) the languages mastered by officers be disclosed in the Management Proxy Circular, (3) the Corporation adopt an annual advisory vote policy on its environmental and climate change objectives and action plan.
