Ebersbach Facility, Haxxon, Theros Pharma, Gardina Pharmaceutical, 819 Ha Agri Land & Tropicann entered into a letter of intent to acquire ICC International Cannabis Corp. (CNSX:WRLD.U) in a reverse merger transaction on January 15, 2019. Under the terms of the transaction, ICC International will acquire 49.9% of international assets and licence portfolio of Wayland Group Corp. (CNSX:WAYL) and Wayland will receive 300 million shares of ICC International. The international assets and licence portfolio will include 49.9% stake in a German medical Cannabis import license, 49.9% stake in the Ebersbach Facility in Dresden, Germany, 49.9% stake in Haxxon AG, 25.45% stake in Theros Pharma Ltd., control of a license to manufacture finished-dose medical Cannabis in Malta, 49.9% stake in Gardina Pharmaceutical SAS, 49.9% stake in 819 hectares of developed agricultural land in Argentina, and 24.45% stake in Tropicann Pty. Ltd. On completion, Wayland’s international assets and licences will be held in a subsidiary, owned by Wayland and International Cannabis. The international subsidiary will include key management from Wayland. As a result of the transaction, International Cannabis will gain access to Wayland’s advisory board members. The transaction is subject to a number of conditions including certain regulatory approvals, stock exchange approvals, securityholder approvals, completion of satisfactory due diligence by International Cannabis and Wayland, Wayland and International Cannabis each receiving fairness opinions, completion of a reorganization of Wayland’s international assets, finalizing of a purchase agreement, and other conditions. The transaction is also subject to a finder’s fee. The transaction is expected to close on or around March 1, 2019.
