NEW DATE FOR GIVING NOTICE OF STATUS OF DEFEATING CONDITIONS

Equity Trustees Limited (ABN 46 004 031 298) (Equity Trustees) gives notice under
section 630(2) of the Corporations Act 2001 (Cth) (Corporatlons Act) in relation to the offers dated
5 Aprii 2013 (Offers) under the off-market takeover bid by Equity Trustees forali of the ordinary shares in The Trust Company Limited (ABN 59 004 027 749) as set out in the replacement bidder's statement dated 27 March 2013 (Bidder's Statement).
The date for giving notice of the status of the defeating conditions set out in section 9.8 of the Bidder's Statement has been postponed by operation of section 630(2) of the Corporations Act. The new date for giving notice of those conditions is 20 September 2013.
As at the date of this notice:
(a) Equity Trustees has not freed the Offers from any of the defeating conditions set out in section 9.8 of the Bidder's Statement, subject to the statements in section 7 of Equity Trustees' third supplementary bidder's statement dated 21 June 2013;
(b) as stated in Equity Trustees' notice under section 630 of the Corporations Act dated 16
Aprii 2013, the defeating condition set out in section 9.8(i) of the Bidder's Statement has been satisfied;
(c) as stated in Equity Trustees' notice under section 630 of the Corporations Act dated 23
May 2013, the defeating condition set out in section 9.8(e) of the Bidder's Statement has been satisfied; and
(d) so far as Equity Trustees is aware, none of the other defeating conditions set out in section 9.8 of the Bidder's Statement have been fulfilled and, accordingly, the Offers remain subject to those defeating conditions, subject to the statements in section 7 of Equity Trustees' third supplementary bidder's statement dated 21 June 2013.
Terms defined in the Bidder's Statement have the same meaning when used in this Notice, unless the context requires otherwise.
