           Appointment of Certain Officers; Compensatory Arrangements of Certain
           Officers.

On October 2, 2020, the Board of Directors of Verizon Communications Inc. (Verizon) elected Roxanne S. Austin, President and Chief Executive Officer of Austin Investments Advisors, as a director, effective immediately. As a director, Ms. Austin will participate in the compensation program applicable to all non-employee directors, which is described under the heading "Non-Employee Director Compensation" in Verizon's definitive proxy statement on Schedule 14A, filed with the Securities and Exchange Commission on March 23, 2020. Ms. Austin has not yet been named to a Board committee.
