Vontier Corporation (NYSE:VNT) entered into a definitive agreement to acquire DRB Systems, Inc. from affiliates of New Mountain Capital, L.L.C for approximately $970 million on July 19, 2021. The purchase price of approximately $965 million, payable in cash, includes a deferred tax asset of approximately $130 million, which is expected to be utilized over the next 15 years. The acquisition will be financed with available cash and proceeds from borrowings under Vontier’s credit facilities. The transaction is subject to customary closing conditions, including regulatory approval. Vontier anticipates that the acquisition will close in the third quarter of 2021. The transaction is expected to be accretive to earnings and free cash flow in 2022.
