Wendel announces that it has completed the sale of 40.5 million Bureau Veritas shares through an accelerated bookbuilding process, representing around 9% of the share capital, for total proceeds of around 1.1 billion euros.

As part of the offer, the Lac1 fund, managed by Bpifrance, acquired around 4% of the share capital of Bureau Veritas. Bpifrance will be granted the right to appoint a director to the board of the inspection and certification services group.

Wendel will retain four directors on the board, in line with the current situation, and remains the largest shareholder in Bureau Veritas, with a stake of around 26.5% and 41.2% of voting rights following the transaction.

The transaction results in a capital gain of around 800 million euros, recognized in shareholders' equity and with no impact on Wendel's income statement, in accordance with the standards applied to majority shareholdings.
