DISCLOSEABLE TRANSACTION & CONNECTED TRANSACTION COMPLETION OF THE ACQUISITIONS INVOLVING ISSUE OF

CONSIDERATION SHARES UNDER SPECIFIC MANDATE

Reference is made to the announcement dated 27 April 2017 and the circular dated 22 May 2017 (the ''Circular'') made by LongiTech Smart Energy Holding Limited (the ''Company'') in relation to the Acquisitions. Terms defined in the Circular shall have the same meanings when used herein, unless the context requires otherwise.

COMPLETION OF THE ACQUISITIONS

The Board is pleased to announce that the Acquisitions were completed on 9 June 2017 as all the conditions to the First Agreement and the Second Agreement have been fulfilled. The First Consideration Shares had been allotted and issued to the First Vendor and the Second Consideration Shares had been allotted and issued to the Second Vendor upon the Completion.

Notes:

1. The Shares are held by Longevity Investment Holding Limited and Harvest Oak Holdings Limited. The First Vendor is wholly owned by Mr. Wei Shaojun.

2. China Create Capital Limited is independent of the First Vendor and the Second Vendor and their respective associates.

After the completion of the Acquisitions, the total installed capacity of solar power stations of the Company is approximately 54 MW.
