Yippy, Inc. (OTCPK:YIPI) signed an letter of intent to acquire all the assets of HighBeam Research, Inc. from Gale, Inc. for $13.9 million on September 22, 2012. Yippy, Inc. (OTCPK:YIPI) signed an asset purchase agreement to acquire all the assets of HighBeam Research, Inc. from Gale, Inc. on December 20, 2012. The purchase price includes cash payment of $7.9 million and issuance of 8 million restricted common shares. Upon issuance, the shares will be subject to piggy-back registration rights. The completion of the transaction is subject to certain closing conditions and execution of definitive agreement.
