(b) On October 31, 2019, David W. Grzelak, a director of the Company's Board of Directors (the "Board") notified the Company of his decision to retire from the Board, effective on December 13, 2019. Mr. Grzelak's decision to resign was due to personal reasons and did not result from any disagreement with the Company.
