CHANGE OF EMPLOYEE REPRESENTATIVE SUPERVISOR

China Railway Group Limited (the "Company") hereby announces that, at the third joint conference for chief of delegation of the Fifth Meeting of the Second Session of the Employee Representatives General Meeting of the Company held on 20 September 2019, Mr. YUAN Baoyin was elected as an employee representative supervisor to the fourth session of the supervisory committee of the Company with a term until the expiry of the term of the fourth session of the supervisory committee of the Company. Meanwhile, such conference has considered and approved that Mr. WANG Hongguang ceased to serve as an employee representative supervisor of the Company with effect from 20 September 2019. Mr. WANG Hongguang confirmed that he had no disagreement with the board of directors of the Company and the supervisory committee of the Company and there were no matters relating to his cessation to act as an employee representative supervisor of the Company that need to be brought to the attention of the shareholders of the Company.

The biographical details of Mr. YUAN Baoyin are as follow:

Mr. YUAN Baoyin (no other former name/alias), aged 56, Chinese nationality, holding no overseas residence, senior engineer, is currently the deputy secretary to the discipline committee of the Company, and concurrently the deputy secretary to the discipline committee of China Railway Engineering Group Company Limited ("CREC"). Mr. YUAN served as the deputy secretary to the Communist Party Committee and secretary to the discipline committee of China Railway No.9 Group Co., Ltd. from March 2008 to March 2011; the deputy secretary to the discipline committee of the Company and concurrently the deputy secretary to the discipline committee of CREC from March 2011 to January 2013; the Chairman and the secretary to the Communist Party Committee of China Railway No.9 Group Co., Ltd. since January 2013 to March 2014. He served as the deputy secretary to the discipline committee of the Company and concurrently the deputy secretary to the discipline committee of CREC since March 2014. Mr. YUAN graduated from University of Electronic Science and Technology of China and obtained a master's degree in engineering.

Save as disclosed herein, Mr. YUAN Baoyin has confirmed that (1) he does not hold any other position with the Company or any of its subsidiaries and has not been a director in any other listed companies in the past three years; (2) he is not connected with any directors, senior management or substantial or controlling shareholders of the Company or any of its subsidiaries; and (3) he does not have any interest in any shares, underlying shares and debentures of the Company within the meaning of Part XV of the Securities and Futures Ordinance (Chapter 571 of the Laws of Hong Kong).

Mr. YUAN Baoyin, as a supervisor of the Company, will receive remuneration that is determined with reference to the operating results of the Company and his performance in fulfilling his duties. Remuneration to be received by Mr. YUAN Baoyin mentioned above includes salary, discretionary bonus, contributions to retirement benefit scheme and other benefits. Details of the remuneration of the supervisors of the Company are available in the Company's annual report.

In respect to the election of Mr. YUAN Baoyin as a supervisor of the Company, Mr YUAN Baoyin has confirmed that there is no other information that is required to be disclosed pursuant to rules 13.51(2)(h) to (v) of the Rules Governing the Listing of Securities on The Stock Exchange of Hong Kong Limited and there is no other matter that needs to be brought to the attention of the shareholders of the Company.
