Heather Pals

Heather Pals is a corporate attorney with extensive experience in various transactional and securities related matters.
Ms. Pals joined DRI Healthcare in February 2023 as Associate General Counsel.
In this capacity, Ms. Pals is responsible for corporate legal work, including securities, banking, compliance and tax-related matters.
Prior to joining DRI Healthcare, Ms. Pals practiced for 8 years in the capital markets group at Shearman & Sterling LLP, where she advised public and private companies, investment banks and sponsors in a broad range of complex corporate transactions, including initial public offerings, PIPE transactions, high yield and investment grade debt offerings, mergers and acquisitions, and liability management transactions.
Ms. Pals also has extensive experience advising clients on SEC disclosure and Nasdaq/NYSE-related matters.
During her time at Shearman & Sterling LLP, she was seconded to the Abu Dhabi National Oil Company.
Ms. Pals was a member of the DRI team during law school, where she assisted on various corporate, compliance and governance matters.
She holds a J.D.
from the University of Toronto Faculty of Law and a Master of Business Administration from the Goodman School of Business, Brock University.
Ms. Pals also holds an Honours Bachelor of Science from Western University, with a double major in Anatomy and Cell Biology and Bioarchaeological Anthropology, where she was awarded the gold medal for the highest academic average in the Faculty of Science.
Ms. Pals is admitted to practice law in the State of New York.
