Report on the 28 April 2020 General Shareholders' Meeting

Saint-Denis,28 April 2020 - EuropaCorp's ordinary and extraordinary General Shareholders' Meeting was held today, behind closed doors. Attendees were:

  • Mr Luc Besson, CEO and President of the Board;
  • Mr Régis Marillas, Deputy CEO;
  • Mr Arnaud de Senilhes, Secretary of the Board;
  • Messrs Arnaud Malivoire and Olivier Juramie, Auditors;
  • Mrs. Isabelle Gimonet, Scrutineer.

Given the state of sanitary emergency linked to the Covid-19 epidemic, shareholders had been invited to vote remotely until the day before the General Meeting.

The resolutions giving delegation of authority to the Board to realise two share capital increases have been adopted, as well as the appointment of 4 new directors subject to the final realisation of the aforementioned capital increases. In accordance with the recommendation of the Board, the third resolution concerning a potential capital increase reserved for a company savings plan has been rejected.

Details of the votes by resolution are presented in the appendix.

As a reminder, the final realisation of the share capital increases is subject to certain condition precedents and in particular the approval of the Safeguard Plan by the Commercial Court of Bobigny, plan already approved by the creditors' committees (as already announced).
