ITEM 5.02 Departure of Directors or Certain Officers; Election of Directors;
Appointment of Certain Officers; Compensatory Arrangements of Certain
Officers
As previously announced, David W. Cathell, Executive Vice President/Treasurer &
Chief Financial Officer (principal financial officer) of ACNB Corporation (the
"Corporation"), notified the Corporation of his intention to retire from all of
his positions with the Corporation and its subsidiaries effective the close of
business on May 31, 2022. On January 7, 2022, the Corporation announced that
Jason H. Weber had been selected as the successor to Mr. Cathell and he then
joined the Corporation and its wholly-owned subsidiary, ACNB Bank (the "Bank"),
as Executive Vice President/Finance effective January 31, 2022, for the period
until Mr. Cathell's retirement. Upon his hiring, Mr. Weber's Employment
Agreement, dated January 31, 2022, was then filed by the Corporation as an
exhibit to the Current Report on Form 8-K dated February 4, 2022.
Effective June 1, 2022, following Mr. Cathell's retirement on May 31, 2022, Mr.
Weber was elected as Executive Vice President/Treasurer & Chief Financial
Officer (principal financial officer) of the Corporation and the Bank. Mr.
Weber, age 47, previously served as Executive Vice President and Chief Financial
Officer for Atlantic Community Bankers Bank in Camp Hill, Pennsylvania, since
June 2020. Prior to that, he served as director of corporate development and
financial planning and analysis at Fulton Financial Corporation in Lancaster,
Pennsylvania. Mr. Weber does not have any relationships requiring disclosure
under Item 401(d) of Regulation S-K or any interests requiring disclosure under
Item 404(a) of Regulation S-K.

Financial Officer is attached hereto as Exhibit 99.1 and is incorporated herein
by reference.
