MATERIAL FACT

AES Brasil Energia S.A. ("AES Brasil") (B3: AESB3), in compliance with Article 157, Paragraph 4 of Federal Law 6,404, from December 15, 1976, as emended ("Brazilian Corporate Law") and in accordance with Brazilian Securities and Exchange Commission ("CVM") Instruction 358, from January 3, 2002, as emended, hereby informs its shareholders and the general market that it entered into, through a subsidiary, with BRF S.A ("BRF"), on August 16th, an Investment Agreement ("Agreement") for the constitution of a joint venture with shared control for the purpose of wind power generation ("JV" and "Project"). The Project has 160 MW of installed wind capacity, equivalent to 25 average MW of assured energy at P50, of which 80 average MW will be sold through a 15-year contract ("PPA") to be signed between the JV and BRF on the closing date of the transaction and effective from 2024.

The Project will be developed at the Cajuína Wind Complex ("Complex"), in the State of Rio Grande do Norte, after the fulfillment of the precedent conditions for the closing of the operation provided for in the Agreement, with construction beginning scheduled for the fourth quarter of 2021. Estimated CAPEX for the development of the wind farm is approximately R$ 5.2 million/installed MW.

AES Brasil reinforces its portfolio growth and diversification strategy through the development of projects from renewable sources and complementary to hydro sources, with long-term contracts and solid returns, aimed at creating value for its shareholders.
