(Stock Code: 1288) CHANGES IN SUPERVISORS
Reference is made to the 2012 Annual Report of Agricultural Bank of China Limited (the "Bank") published on 29 April 2013. As at the date of publication of the Bank's 2012 Annual Report, Mr. JIA Xiangsen and Mr. WANG Yurui were still performing their duties as supervisors representing employees of the Bank, and the Bank was in the process of qualification review and election of supervisors representing employees.
The Bank has completed the election of supervisors representing employees and hereby announces the following changes in the supervisors representing employees of the Bank.
Mr. JIA Xiangsen was re-appointed as a supervisor representing employees of the Bank, and Mr. ZHANG Jianzhong and Mr. XIA Zongyu were appointed as supervisors representing employees of the Bank, each with a term of office of three years since 7 May 2013.
As at the date of this announcement, none of Mr. JIA Xiangsen, Mr. ZHANG Jianzhong or Mr. XIA Zongyu hold any share of the Bank. Mr. JIA Xiangsen, Mr. ZHANG Jianzhong and Mr. XIA Zongyu will receive remuneration based on their positions in the Bank, including salaries, bonuses and other benefits.
The biographical details of Mr. JIA Xiangsen, Mr. ZHANG Jianzhong and Mr. XIA Zongyu are set out below:
Mr. JIA Xiangsen, aged 58, graduated from a Master program in money and banking at the Chinese Academy of Social Sciences and is a Senior Economist. He has served as a supervisor representing employees of the Bank since 2009. Mr. Jia previously served as officer and deputy section chief of the Beijing branch and deputy director of Fengtai District Office of the People's Bank of China. He has then served in several positions in Beijing branch of Agricultural Bank of China, including vice president of Fengtai sub-branch, deputy chief of the Education Division, deputy director of the Credit Cooperation Management Department, deputy chief of the Science and Technology Division, president of Dongcheng sub-branch and assistant to president of Beijing branch. Mr. Jia was appointed to several positions in Agricultural Bank

of China, including vice president of Beijing branch in November 1994, general manager of the Corporate Banking Department in December 2000, president of Guangdong branch in November 2003 and principal of the Audit Office in April 2008. He was appointed as chief auditor and principal of the Audit Office of the Bank in March 2010. Mr. Jia is concurrently serving as deputy director of China Association for Promotion of Science & Technology and Finance.
Mr. ZHANG Jianzhong, aged 57, holds a Bachelor's degree and is a Senior Economist. He used to serve in several positions in the Inspection and Supervision Office of Agricultural Bank of China, including supervisor (deputy chief level) of the Case Division, chief of the Economic Case Division and chief of Division I. Mr. Zhang was appointed to several positions in Agricultural Bank of China, including discipline inspection supervisor of the Inspection and Supervision Department in April 1999, vice president of Inner Mongolia branch in April
2001, deputy director of the Inspection and Supervision Department in November 2003 and president of Ningxia branch in January 2007. He was appointed as deputy secretary of the Party Discipline Committee of the Bank in September 2012, and deputy secretary of the Party Discipline Committee and general manager of the Inspection and Supervision Department of the Bank in February 2013.
Mr. XIA Zongyu, aged 49, holds a Mater's degree and is a Senior Economist. He used to serve in several positions in the Executive Office of Agricultural Bank of China, including deputy chief of the General Division, deputy chief and then chief of the Policy Research Division, and chief of the Document Management Division. Mr. Xia was appointed to several positions in Agricultural Bank of China, including deputy director of the Executive Office in October 2003, principal of the Sannong Retail Banking Department in April 2008, general manager of the Sannong Retail Banking Department in July 2008 and vice president of Fujian branch in June
2009. He was appointed as principal of the Union Affairs Department in November 2012 and director of the Union Affairs Department in January 2013.
Save as disclosed in this announcement, none of Mr. JIA Xiangsen, Mr. ZHANG Jianzhong or Mr. XIA Zongyu hold any directorship in any other listed companies or take up any post in any affiliated companies of the Bank in the past three years, nor any of them has any relationship with any other director, supervisor, senior management, substantial shareholder or controlling shareholder of the Bank. Furthermore, none of Mr. JIA Xiangsen, Mr. ZHANG Jianzhong or Mr. XIA Zongyu have any equity interest in the Bank within the meaning of Part XV of the Securities and Futures Ordinance of Hong Kong. Save as disclosed herein, there is no other information relating to the appointment of Mr. JIA Xiangsen, Mr. ZHANG Jianzhong and Mr. XIA Zongyu that shall be disclosed pursuant to Rule 13.51(2) of the Rules Governing the Listing of Securities on The Stock Exchange of Hong Kong Limited nor any matters which need to be brought to the attention of the shareholders of the Bank.

2. Retirement of Supervisors
Mr. WANG Yurui and Mr. YAN Chongwen, two of the supervisors representing employees of the Bank, retired from office due to expiry of term and age retirement, respectively. They will no longer serve as supervisors representing employees of the Bank.
Each of Mr. WANG Yurui and Mr. YAN Chongwen has confirmed that he has no disagreement with the board of directors and the board of supervisors of the Bank, and there is no other matters which need to be brought to the attention of the shareholders of the Bank in connection with his retirement.
The board of supervisors of the Bank would like to take this opportunity to express its sincere gratitude to Mr. WANG Yurui and Mr. YAN Chongwen for their contributions to the Bank during their tenures of service, and to welcome Mr. ZHANG Jianzhong and Mr. XIA Zongyu for their joining.
