Airtech Japan, Ltd. (TSE:6291) announced that it has entered into agreement with Nomura Securities Co. Ltd., Investment Arm for a private placement of 12,000 9th stock acquisition rights at an issue price of ¥560 each for gross proceeds of ¥6,720,000 on March 9, 2020. Each 9th stock acquisition right is exercisable into 100 common shares at a initial exercise price of ¥816 per share and will receive proceeds of ¥985,920,000 post exercise. The stock acquisition rights are issued through a third party allotment method. The exercise period is from March 27, 2020 to March 27, 2023. The transaction has been approved by the board of directors. The transaction is expected to close on March 26, 2020. The company will pay ¥10,000,000 for attorney's fees, valuation costs in the transaction.
