Alantra Partners, S.A. (BME:ALNT), Agnès Nahum and Philippe Poggioli, Managing Partners of Access Capital Partners and several team members of Access Capital Partners agreed to acquire 48.98% in Access Capital Partners from OP Financial Group and Dominique Peninon, Chairman of Access Capital Partners on December 20, 2018. Under the terms of the transaction, Alantra Partners will own a 49% stake in Access Capital Partners. The first step of the transaction entails the acquisition of a 24.5% interest for a cash consideration of €19 million. In 2022 Alantra Partners will have a call option, and OP Financial Group a put option, for OP Financial Group's remaining stake. Upon completion, Agnès Nahum and Philippe Poggioli together with the enlarged group of partners will increase their shareholding in the firm maintaining complete independence as they will collectively have a controlling majority of Access Capital Partners. Dominique Peninon will retain a significant stake in Access Capital Partners and remain Chairman of the Group. The transaction is subject to the regulatory approval of local authorities and is expected to complete in the first quarter of 2019. As of April 17, 2019, Alantra Partners, S.A. completed the acquisition of 24.49% stake in Access Capital Partners for €18.9 million. Benjamin Aller, Caroline Daout, Virginie Lescot, Camille Lagache, Edouard Sarrazin, Sylvie Vansteenkiste, Sarah Mordoff and Augustin Fargier of DLA piper acted as legal advisors to Access Capital Partners SA. Alex Dolmans, Javier Gazulla, Casto González-Páramo, Ludovic Geneston, Vincent Fidelle, Cristina Marañón, Alfredo Gómez and Adrian Gaina of Hogan Lovells US LLP acted as legal advisors to Alantra.
