Item 8.01 Other Events

Ameri Metro, Inc. (the "Company") entered into an Opportunity License Agreement with the Portus de Jewel Seaport & Inland Port project (the "Project"), which was amended in June 2019. The agreement was further amended by a July 31, 2020 Resolution to include the Dutch East India Logistics Co. ("DEIL"), the entity responsible for the Project. The amended Opportunity License Agreement now provides that the Company has a 10% non-controlling interest in DEIL and the Project, and the ownership interest also includes ownership of the book value in DEIL and the Project. DEIL and the Project shall pay 10% of all profits before taxes to the Company. Based on DEIL and Project operations through July 2020, the Company is entitled to $250,408,071 in Net Ordinary Income and $53,805,646,202 of Book Value. The Company will record 10% ownership of the property in their financial filings. All related future revenue will also be recorded in the Company's financial filings.
