Anima S p A : Start of the partial demerger of Anima SGR related to the entire stake in Anima AM Ltd in favour of Anima Holding

START OF PARTIAL DEMERGER OF ANIMA SGR S.P.A., RELATED TO THE ENTIRE STAKE HELD IN ANIMA ASSET MANAGEMENT LTD, IN FAVOUR OF ANIMA HOLDING S.P.A.

Milan, February 3rd, 2022 - ANIMA Holding S.p.A. ("Anima Holding" or the "Company") informs that, following the obtainment of the authorizing resolution by the Bank of Italy, the partial demerger plan of Anima SGR S.p.A. ("Anima SGR") with assignment to Anima Holding of the entire stake held by Anima SGR in Anima Asset Management Ltd, a company incorporated under Irish law and authorized to set up and manage UCITS and AIFs, has been published today on Anima Holding's Italian website (www.animaholding.it), under section "Documenti Societari", pursuant to Article 2506-bis, paragraph 5, of the Italian Civil Code (the "Demerger").

The Demerger is part of a project aimed at simplifying and streamlining the structure of the Anima Group, with the purpose of consolidating the role of holding company of the Company, which is responsible for the management and coordination of the companies belonging to the Group, and in order to achieve greater operational/managerial and financial efficiency in the relations among the various entities of the Group.

Since Anima Holding holds the entire share capital of Anima SGR, the decision on the Demerger will be submitted to the approval of the Company's Board of Directors, pursuant to the simplified procedure set forth under Article 2505 of the Italian Civil Code (as referred to for demergers by Article 2506-ter, paragraph 5, of the Italian Civil Code), and to Article 19 of the by-laws. Furthermore, there is no exchange ratio, Anima Holding will not increase its share capital or allocate shares, and the Demerger shall not require any amendment to Anima Holding's by-laws. The civil legal effects of the Demerger will begin on the date which will be indicated in the deed of demerger.

Anima Holding's Procedure for transactions with related parties does not apply to the Demerger, as it is an intragroup demerger transaction between Anima Holding and a wholly-owned subsidiary.

The Demerger plan is available to the public at the Company's registered office, on the Company's Italian website (www.animaholding.it), section "Documenti Societari", and on the authorised storage mechanism 1Info (www.1info.it). The annual reports of Anima Holding and Anima SGR of the last three financial years are also available at the Company's registered office and in the abovementioned section of Anima Holding's website.
