MATERIAL FACT
B3 S.A - Brasil, Bolsa, Balcão ("B3" or "Company"), hereby informs that, we filed today, a judicial agreement ("Agreement") signed with the Bankruptcy Estate of Spread Commodities Mercantil e Corretora de Mercadorias Ltda. ("Bankruptcy Estate") in order to settle lawsuit nº 0172946-23.2010.8.26.0100, in the 3rd Bankruptcy and Judicial Reorganizations Court of the District of the Capital of the State of São Paulo. This dispute is described in item 4.3.II.1 of B3's Reference Form and its risk of loss was classified as probable, with total amount under discussion provisioned in the Company's financial statements (amount provisioned as of 06.30.2020 was R$379,0 million), as disclosed in the Material Fact of 11.01.2016.
The execution of this Agreement will result in the payment of approximately R$ 140 million by B3 and represents the end of the dispute referred to above, in which the Bankruptcy Estate claimed to be entitled to equity securities issued by Associação BM&F, currently corresponding to 4,908,015 B3 shares.
