Best Union Company SpA : Best Union Company acquires 100% of the share capital of Enta Ticketing Solutions Ltd., an English company

- Best Union has acquired a 100% stake in the capital of Enta Ticketing Solutions Ltd, a

English company which at 31/12/2012 had a turnover of £3.6 million, a net profit of

£0.4 million and a positive net cash position of £1 million.

- Through the acquisition Best Union will consolidate its position on the UK and international markets.

On July 18th, 2013 Best Union Company completed another prestigious acquisition in the UK: following the recent partnership signed with The Louvre, the most famous art gallery in the world, Best Union Group continues its international growth strategy by acquiring 100% of the share capital of Enta Ticketing Solutions Ltd., an English company operating in the ticketing field with a significant customer base.
The transaction is structured as the acquisition by Omniticket Network Limited, a subsidiary of Best Union, of 100% of the shares of Enta Ticketing Solutions and its two subsidiaries Galathea/STS Ltd and Ticketing System Technology Ltd. The seller is Bracken Holdings Limited, a company controlled by London-based private equity firm Octopus Investments.
Enta Ticketing Solutions Ltd closed the year 2012 with a turnover of £3.6 million, an EBITDA of
£0.7 million and a net profit of £0.4 million.
At the 31/12/2012 Enta had a positive net cash position of £ 1 million.
The purchase price is £900,000. The share purchase agreement provides for a standard mechanism of price adjustment following completion of the transaction based on Enta's net financial position.
The signing and completion of the share purchase agreement occurred simultaneously.
Enta is one of the leading providers of ticketing services for theatres and artistic and sporting events in the UK.
Enta also serves customers in other European countries and in the Middle East. A management team with strong and recognized experience in the ticketing sector is one of its main strengths.
Following the acquisition, Best Union will increase its market share in the UK (until now serviced through its subsidiary Omniticket Network Ltd) in the field of ticketing, reaching the
significant critical mass necessary to implement a development program both for the local market, and for other international markets which will be covered from the UK.
The Best Union Group will leverage its consolidated know-how needed to operate in the UK ticketing market thanks to the strong Enta management team and aims to become a new point of reference in the lively and growing UK cultural ticketing market.
Enta Ticketing Solutions and Omniticket UK present strong synergies that will be pursued from the date of acquisition.
