Dayli BlockChain Co.,Ltd. (KOSDAQ:A139050) acquired 24.98% stake in Carelabs Co., Ltd. (KOSDAQ:A263700) from yelloo2o Inc. for KRW 30.8 billion on March 29, 2019. Dayli BlockChain acquired 1.5 million shares. The consideration includes cash payment of KRW 14.3 billion with KRW 1.2 billion as direct cash payment and KRW 13.1 billion for debt of The Shinhan Engineering & Construction Co., Ltd, 3 Round convertible bond of KRW 15 billion and 4th convertible bonds of KRW 14.5 billion.The cash consideration will be funded through loan. The Board of Directors of Dayli BlockChain resolved the acquisition on March 29, 2019. Samdo Accounting Corporation acted as the external rating institution in the transaction.
