Borgestad, 13 December 2023: Borgestad ASA's (the "Company") subsidiary Agora
Bytom Sp. z o.o. has today entered into an amendment agreement for an extension
of, and certain other amendments to, the terms of Agora Bytom Sp. z o.o.'s
existing loan facility in Pekao S.A. Bank (the "Agora Bytom Facility").

Pursuant to the amendment agreement, the maturity date of the Agora Bytom
Facility shall be extended from 30 June 2024 until 31 December 2028, subject to
a partial repayment of the outstanding amount under the Agora Bytom Facility of
EUR 10 million. Following such repayment, the new principal amount under the
Agora Bytom Facility will be EUR 29.9 million.

The loan shall pursuant to the amendment agreement have an interest of EURIBOR 1
month plus a margin of 2.8%, and no repayment of the principal amount will be
required in a period of 27 months from the entry into force of the amendment
agreement. The ISCR ratio (interest service coverage ratio) shall be minimum 1.9
in respect of the reporting periods during which no repayment is required. The
LTV ratio (loan to value ratio) shall be maximum 60% (but cannot exceed 55% at
the date of entry into of the amendment agreement).

All other terms and conditions under the Agora Bytom Facility will remain
unchanged. 

The amendment agreement will enter info force on or about 20 December 2023,
subject to completion of the above-mentioned partial repayment of EUR 10
million.
