NOTICE TO SHAREHOLDERS

CHANGES TO THE BOARD OF DIRECTORS OF BRITISH AMERICAN TOBACCO ZIMBABWE (HOLDINGS) LIMITED

The Board of Directors of British American Tobacco Zimbabwe (Holdings) Limited ("the Company"), announces the following changes:

MS. CHRISTELLE SUPPARAYEN-ROMEO

The resignation of Ms. Christelle Supparayen-Romeo as a Non-Executive Director of the Company, effective 20 June 2023.

Ms. Supparayen-Romeo has been a Non-Executive Director since March 2021.

The Board of Directors thank her for her contribution to the success of the

Company and wish her the very best in her future endeavors.

MR. SIVENASEN MOODLEY

The resignation of Mr. Sivenasen Moodley as the Managing Director of the

Company, effective 20 June 2023.

Mr. Moodley has been the Managing Director since March 2022.

The Board of Directors thank him for his contribution to the success of the

Company and wish him the very best in his future role at BAT South Africa.

Further the Board is pleased to announce:

MR. PHILEMON KIPKEMOI

The appointment of Mr. Philemon Kipkemoi as a Non-Executive Director of the

Company, effective 21 June 2023.

Mr. Kipkemoi has been with the BAT Group for 17 years. He joined BAT Kenya in 2007 from PricewaterhouseCoopers (PwC), where he served as an Internal Audit Manager. He has subsequently held various senior Finance Leadership roles within the Group, including, Finance Controller (Uganda & Big Ben Tobacco DRC), Finance Controller (East & Central Africa), Head of Operations Finance (East & Central Africa) and Head of Finance (Horn of Africa & Indian Ocean Islands). He is currently the Head of Finance for BAT East & Southern Africa markets.

MR. KIMESH NAIDOO

The appointment of Mr. Kimesh Naidoo as the Managing Director for the Company, effective 21 June 2023.

Mr. Naidoo is a qualified Chartered Accountant with the South African Institute of Chartered Accountants (SAICA), with over 11 years' experience in cross-functional management, financial management, audit, sales and distribution in the Fast-Moving Consumer Goods industry. He has worked in various companies in South Africa, including KPMG, Standard Chartered and Anheuser-Busch InBev (AB InBev). Mr. Naidoo joined BAT South Africa in June 2019 and was subsequently appointed as the Managing Director for the company in October 2019. Mr. Naidoo later joined BAT's East African Markets in March 2022 as Cluster Manager, Horn of Africa and now returns as Managing Director.

The Board of Directors congratulates Mr. Kipkemoi and Mr. Naidoo on their appointments and welcomes them to the Board.
