As of April 27, 2021, Camber Energy, Inc. had outstanding approximately 42,050,780 shares of common stock. Since March 18, 2021, approximately 6,655,641 shares were issued to an institutional investor in connection with conversions of Series C Convertible Preferred Stock held by such investor pursuant to the exemption from registration provided by Section 3(a)(9) of the Securities Act of 1933, as amended, and Rule 144 promulgated thereunder.
