CH Offshore Ltd. announced that Thia Peng Heok George ceased to be an Independent Director of the Company after the conclusion of the Company's Annual General Meeting held on 22 April 2024. Upon the recommendation of the Nominating Committee (with Mr. George Thia abstaining from the decision process), the Board has determined that Mr. George Thia's continued involvement as a Non-Executive Non-Independent Director after the AGM 2024 would be highly beneficial for the Company and its shareholders, by providing continuity, valuable insight, and expertise that supports the Company's long-term strategy and governance. As such, Mr. George Thia has been re-designated as Non-Executive Non-Independent Director on 22 April 2024, immediately after the conclusion of the AGM 2024.

Concurrently, as part of the board committee reconstitution plan, Mr. Thia also stepped down from his positions as Chairman of the Board and Audit and Remuneration Committees, and member of Nominating Committee. Mr. Thia remains as a member of the Audit Committee. Mr. Lee Gee Aik, who was re-elected as a Director of the Company at the AGM, has been appointed as the Chairman of the Board and Nominating Committee.

Mr. Lee will continue his office as a member of Audit Committee. Mr. Lee is considered independent for the purpose of Rule 704(8) of the Listing Manual of the SGX-ST. Mr. Tham Chee Soon, who was re-elected as a Director of the Company at the AGM, has been appointed as the Chairman of the Audit Committee.

Mr. Tham will continue his office as a member of Remuneration Committee. Mr. Tham is considered independent for the purpose of Rule 704(8) of the Listing Manual of the SGX-ST. Mr. Ahmad Nizam Bin Abbas has been appointed as the Chairman of Remuneration Committee.

Concurrently, as part of the board committee reconstitution plan, Mr. Nizam also stepped down from his position as a member of the Audit Committee. Mr. Nizam is considered independent for the purpose of Rule 704(8) of the Listing Manual of the SGX-ST. Mr. Nizam remains as a member of the Nominating Committee.

Cessation of Ms. Jeanette Chang from her position as a member of the Audit Committee as part of the board committee reconstitution plan. Ms. Chang remains as a member of the Remuneration Committee. Retirement of Mr. Tan Kian Huay as an Independent Director of the Company.

Consequently, Mr. KH Tan has relinquished his roles as the Chairman of Nominating Committee and member of Audit and Remuneration Committees of the Company. Retirement of Mr. Tan Pong Tyea as a Non-Executive Non-Independent Director of the Company.
