In connection with this overseas offering, the shareholders EC studio Holdings Co. Ltd. and Masaki Yamamoto have been involved in the issuance of new shares to Daiwa Securities Co. Ltd. on the day when the issue price, etc. for this overseas offering is determined. During the period ending on the 180th day from the delivery date (hereinafter referred to as the "lock-up period"), without the prior written consent of Daiwa Securities Co. Ltd., the Company's shares or the Company's shares may be converted or converted. Sale of securities that can be exchanged or securities that represent the right to acquire or receive shares of the Company (excluding those due to a request for purchase of shares less than one unit to the Company based on Article 192, Paragraph 1 of the Company Act).
