Chongqing Xingfuji Industry Co., Ltd. agreed to acquire 49% stake in Chongqing Haoneng Xingfu Synchronizer Co., Ltd from Chengdu Haoneng Technology Co., Ltd. (SHSE:603809) for CNY 90.75 million on July 25, 2022. The consideration for this transaction shall be paid in cash. As of June 30, 2022 Chongqing Haoneng Xingfu Synchronizer Co., Ltd total asset is CNY 498.03 million and net asset is CNY 321.26million. The transaction is subject approval of merger agreement by Chongqing Haoneng Xingfu Synchronizer Co., Ltd. board. Chengdu Haoneng Technology Co Ltd is a China-based company mainly engaged in the research and development, production and sales of automotive driveline-related components and high-end precision manufacturing of aerospace components. The Company's auto parts business includes two assembly systems, synchronizer and differential, as well as dual clutch transmission (DCT) parts and rail transit drive system parts, which are mainly used in fuel vehicles and new energy vehicles. The Company's aviation parts business products include aircraft nose, fuselage, wing, tail section and other related parts, which are mainly used in various types of military aircraft, civil aircraft and unmanned aerial vehicles.
