China Galaxy Securities Co., Ltd. Announces Completion of Non-Public Issuance of 2023 Corporate Bonds (Second Tranche)

The Board of China Galaxy Securities Co., Ltd. announced that in accordance with the above authorization of the shareholders and the approval from the Shanghai Stock Exchange, the Company has completed the non-public issuance of 2023 corporate bonds (second tranche) (the "Corporate Bonds") on 9 March 2023. The issue size of the Corporate Bonds is RMB 4.2 billion with the nominal value and the issue price of RMB 100 per unit. The Corporate Bonds consist of two types, of which the first type has a term of two years (the "Two-
year Corporate Bonds") and the second type has a term of three years (the "Three-year Corporate Bonds"). The final issue size of the Two-year Corporate Bonds is RMB1 billion with a final coupon rate of 3.25%, and the final issue size of the Three-year Corporate Bonds is RMB 3.2 billion with a final coupon rate of 3.35%. The proceeds from the issuance of the Corporate Bonds will be used to repay matured corporate bonds of the Company. The directors, supervisors, senior management, shareholders holding more than 5% of the shares of
the Company and other related parties of the Company did not participate in the subscription of the Corporate Bonds.

Along with subsidiaries, the Company operates its business through eight segments: the Securities Brokerage segment, the Proprietary Trading and Other Securities Trading Services segment, the Investment Banking segment, the Asset Management segment, the Futures Brokerage segment, the Overseas Business segment, the Private Equity Investment segment, and Others segment. The Securities Brokerage segment provides securities dealing and broking, margin financing and securities lending. The Proprietary Trading and Other Securities Trading Services segment is engaged in trading of equities, bonds, funds, derivatives and other financial products. The Investment Banking segment provides corporate finance services and financial advisory services. The Asset Management segment provides portfolio management, investment advisory and transaction execution services.
