The board (the "Board") of directors (the "Directors") of China Kangda Food Company Limited announces that Mr. Chan Ka Yin has tendered his resignation as an independent non-executive Director and ceased to be the chairman of the audit committee and a member of each of the remuneration committee and the nomination committee of the Board with effect from 15 December 2022 due to pursuit of his other business commitments. The Board announced that Mr. Ma Siu Kit has been appointed as the independent non-executive Director with effect from 15 December 2022. The biographical details of Mr. Ma are set out below.

Mr. Ma Siu Kit aged 53, is a seasoned professional in accounting with over 20 years of relevant experience in accounting firms and various enterprises. Mr. Ma has been the company secretary of China Boton Group Company Limited (formerly known as China Flavors and Fragrances Company Limited; stock code: 3318, a company listed on the main board of the Stock Exchange) since September 2005. Mr. Ma has been the independent non- executive director of eprint Group Limited (stock code: 1884, a company listed on the main board of the Stock Exchange) since 30 December 2016.

Mr. Ma obtained a bachelor degree in business (accountancy) from Queensland University of Technology, Australia in 1993. He is a member of the Hong Kong Institute of Certified Public Accountants. Change of Composition of the Board Committees The Board further announces that with effect from 15 December 2022, the composition of the Board committees will be changed as follows: Audit Committee: Mr. Li Xu (chairman), Ms. Hui Wing Man, Mr. Ma Siu Kit.

Remuneration Committee: Mr. Ma Siu Kit (chairman), Mr. Luo Zhenwu, Mr. Li Xu, Ms. Hui Wing Man. Nomination Committee: Ms. Hui Wing Man (chairman), Mr. Fang Yu, Mr. Li Xu, Mr. Ma Siu Kit.
