China Science Publishing & Media Ltd. (SHSE:601858) signed the equity purchase agreement to acquire Edition Diffusion Press Sciences SA from Société de Mathématiques Appliquées et Industrielles, Société Française d'Optique, Société Chimique de France and Société Française de Physique for €12 million on June 28, 2019. Edition Diffusion Press Sciences will be acquired on cash-free and debt-free and consideration is subject to adjustment based on the target company's net debt and net working capital on the delivery date. Société de Mathématiques Appliquées et Industrielles, Société Française d'Optique, Société Chimique de France and Société Française de Physique will sell 0.4%, 2.5%, 19.4% and 77.7% stake respectively. The transaction will be funded by own funds of China Science Publishing & Media.
Edition Diffusion Press Sciences reported revenue of CNY 70.2 million (€8.9 million), total assets of CNY 67.96 million (€8.6 million), net income of CNY 5.4 million (€0.69 million) and net assets of CNY 26.9 million (€3.4 million) for the year ending December 31, 2018. The transaction does not need to be submitted to the shareholders meeting for deliberation, but it must be approved by the relevant regulatory authorities before implementation. The transaction was approved by the Board of China Science Publishing & Media on June 28, 2019.
