APPOINTMENT OF ALTERNATE DIRECTOR

The board of directors (the ''Board'') of Clear Media Limited (the ''Company'') is pleased to announce that Mr. Jérôme Lucien Joseph Marie d'Héré (''Mr. d'Héré'') has been appointed as an alternate director of the Company (the ''Alternate Director'') to Mr. Stephen Hon Chiu Wong (''Mr. Wong'') with effect from 15 March 2021.

Mr. d'Héré, aged 38, is the M&A and Development Director of JCDecaux SA (''JCDecaux''). Mr. d'Héré began his career as International Controller at Clean Metals in Geneva in 2005 and joined JCDecaux as Project Controller for French Finance Department in 2007 before being appointed Group Internal Auditor in 2009. In January 2012, he was named Deputy Director of Management Control - France in charge of Business Management Control. In 2014, he was promoted to the position of Chief Financial Officer - Central America. Mr. d'Héré has been leading JCDecaux's Corporate M&A teams as the M&A and Development Director since February 2019. Mr. d'Héré is a graduate in Corporate Finance of Neoma Business School in France.

As at the date of this announcement, Ever Harmonic Global Limited (''Ever Harmonic'') holds 88.20% of the Company's issued shares. Ever Harmonic is wholly-owned by City Lead Developments Limited, which is held as to 40% by Forward Elite Holdings Limited, 30% by Antfin (Hong Kong) Holding Limited, 23% by JCDecaux Innovate Limited (''JCDI'') and 7% by China Wealth Growth Fund III L.P.. JCDI is a company incorporated in Hong Kong and an indirect wholly-owned subsidiary of JCDecaux.

Save as disclosed above and as far as the Board is aware, Mr. d'Héré has not held any directorships in other listed public companies in Hong Kong or overseas in the last three years and does not have any relationship with any directors, senior management, or substantial or controlling shareholders of the Company. Other than being the Alternate Director, Mr. d'Héré does not hold any other positions in the Company or any of its subsidiaries. Mr. d'Héré has no interest in any shares, underlying shares, debentures or other securities in the Company within the meaning of Part XV of the Securities and Futures Ordinance (Chapter 571 of the Laws of Hong Kong).

Mr. d'Héré will enter into a service contract with the Company with effect from the date of this announcement, pursuant to which there will be no proposed length of Mr. d'Héré's service of directorship, but he may be removed at any time by his appointor, Mr. Wong and, subject thereto, his office shall continue until the next annual election of directors of the Company or, if earlier, the date on which Mr. Wong ceases to be a director of the Company.

No emolument is payable by the Company and its subsidiaries to Mr. d'Héré by mutual agreement.

Save as disclosed above and as far as the Board is aware, there is no other information that is required to be disclosed pursuant to Rule 13.51(2)(h) to (v) of the Rules Governing the Listing of Securities on The Stock Exchange of Hong Kong Limited, and there are no other matters in relation to the appointment of Mr. d'Héré as the Alternate Director that needs to be brought to the attention of the shareholders of the Company.
