En virtud de lo previsto en el artículo 17 del Reglamento (UE) nº 596/2014 sobre abuso de mercado y en el artículo 228 del texto refundido de la Ley del Mercado de Valores, aprobado por el Real Decreto Legislativo 4/2015, de 23 de octubre, y disposiciones concordantes, así como en la Circular 3/2020 del segmento de negociación BME Growth de BME MTF Equity, ponemos en su conocimiento la siguiente información relativa a CLERHP Estructuras, S.A.:

Clerhp se adjudica contratos por 70,80 MM de € en

República Dominicana

CLERHP Estructuras SA, ha adquirido el 40% de SHALEM PALM VILLAGE, S.R.L. (en adelante también referida como SHALEM). La transacción se ha realizado por un precio simbólico para dar cumplimiento al acuerdo de Joint Venture suscrito por las partes. Queda pendiente la operación por la cual CLERHP cederá un 40% de dicha participación a otro grupo local con lo que la participación final quedará en un 24%.

SHALEM PALM VILLAGE S.R.L. es una sociedad dominicana que está iniciando el desarrollo de varios proyectos inmobiliarios en el país. "SHALEM PALM VILAGE BOCA CHICA", uno de los proyectos, es un desarrollo de 24.000 apartamentos, hoteles, centro comercial, hospital y colegios. El proyecto se encuentra en un nivel de desarrollo urbanístico temprano, se estima que dure diez años y prevé iniciar preventas en verano de 2022. El proyecto será realizado por fases, la primera de la cuales, tiene previsto el desarrollo de 2.400 apartamentos de 1, 2 y 3 dormitorios, con una superficie total de 220.000 m2.

Ingeniería y Estructuras de Caribe INECAR S.R.L., filial en República Dominicana de CLERHP Estructuras SA, ha contratado la ingeniería y ejecución de las estructuras de la primera fase de SHALEM PALM VILLAGE BOCA CHICA por un importe de 15,4 Millones de USD (14 millones de euros) y un plazo de ejecución de 24 meses desde el inicio de las obras, estimado para septiembre de 2022.

Adicionalmente, la Compañía ha resultado adjudicataria por parte de SHALEM de un contrato para la gestión del proyecto (Project Management) equivalente al 5% del valor de construcción del proyecto, estimado en hasta 62,5 millones de U$D (56,8 millones de euros) de ejecutarse la totalidad del proyecto y durante los diez años previstos de ejecución.

Este proyecto supone un salto cuantitativo y cualitativo muy relevante para la Sociedad e implica un incremento muy notable de la actividad de Project Management. No

obstante y dada su envergadura, es un proyecto enteramente dependiente de la gestión de SHALEM en la consecución y administración de los recursos financieros necesarios para su desarrollo, hecho sobre el que CLERHP no tiene influencia a pesar de la participación en el proyecto.

Clerhp awarded contracts for €70.80 billion in Dominican

Republic

CLERHP Estructuras SA, has acquired 40% of SHALEM PALM VILLAGE, S.R.L. (hereinafter also referred to as SHALEM). The transaction has been made for a symbolic price to comply with the Joint Venture agreement signed by the parties. The operation is pending by which CLERHP will transfer 40% of said participation to another local group with which the final participation will remain at 24%.

SHALEM PALM VILLAGE S.R.L. is a Dominican company that is initiating the development of several real estate projects in the country. "SHALEM PALM VILAGE BOCA CHICA", one of the projects, is a development of 24,000 apartments, hotels, shopping center, hospital and schools. The project is at an early level of urban development, is estimated to last ten years and plans to start pre-sales in the summer of 2022. The project will be carried out in phases, the first of which is planned for the development of 2,400 apartments of 1, 2 and 3 bedrooms, with a total area of 220,000 m2.

Ingeniería y Estructuras de Caribe INECAR S.R.L., subsidiary in the Dominican Republic of CLERHP Estructuras SA, has contracted the engineering and execution of the structures of the first phase of SHALEM PALM VILLAGE BOCA CHICA for an amount of 15.4 Million USD (14 million euros) and an execution period of 24 months from the beginning of the works, estimated for September 2022.

In addition, the Company has been awarded by SHALEM a contract for project management equivalent to 5% of the construction value of the project, estimated at up to 62.5 million U$D (56.8 million euros) if the entire project is executed and during the expected ten years of execution.

This project represents a quantitative and qualitative leap very relevant for the Company and implies a very notable increase in Project Management activity. However, given its size, it is a project entirely dependent on the management of SHALEM in the achievement and administration of the financial resources necessary for its development, a fact over which CLERHP has no influence despite the participation in the project.
