(TSX:WNDR) ("WonderFi") will acquire all of the issued and outstanding common shares of CoinSmart in exchange for common shares and earnout rights of WonderFi, as more particularly described in the Joint Management Information Circular of WonderFi, Coinsquare Ltd. CoinSmart also announces that it has been informed by Coinsquare that Coinsquare has obtained a final order of the Supreme Court of British Columbia approving the plan of arrangement with WonderFi under Section 192 of the Canada Business Corporations Act.

Closing of the transaction is subject to customary conditions. It is anticipated that the common shares of CoinSmart will be delisted from the NEO Exchange following completion of the transaction.
