CHANGES IN GOVERNANCE

Paris, January 29, 2021 At its meeting on January 28, 2021, the Board of Directors of Compagnie des Alpes confirmed its commitment to separating the roles of Chairman of the Board of Directors and CEO. Accordingly, the company announces that, as of June 1, 2021, Dominique Thillaud will serve as the Group's Chief Executive Officer. Mr. Thillaud will be supported by Loïc Bonhoure, currently Group Deputy Managing Director in charge of strategy, development, and mergers-acquisitions, who will become Deputy CEO.

To ensure that the transition occurs in the best interest of the company, and pending shareholder approval of his reappointment at their meeting on March 25, 2021, Dominique Marcel will be reappointed to serve as Chairman and CEO until May 31, 2021. Mr. Marcel indicates that he will recommend that the Board of Directors appoint Dominique Thillaud to serve as Deputy CEO during this interim period. After June 1, 2021, it is envisioned that Dominique Marcel will serve as non-executive Chairman of the Board to ensure continuity in the Group's development.

Dominique Thillaud began his career in investment banking and consulting before joining SNCF, where he worked for 8 years, first as chief investment and development officer and then as Managing Director of SNCF Participations and Senior Executive VP of strategy for the SNCF Group. Since 2012, Mr. Thillaud had served as Chairman of the Management Board for Aéroports de la Côte d'Azur, overseeing that group's transformation and development, both in France and abroad.
