São Paulo, August 25, 2020 - CYRELA BRAZIL REALTY S.A. EMPREENDIMENTOS E PARTICIPAÇÕES, a corporation, with headquarters at Rua do Rócio, 109, 2nd floor, room 01- partial, Vila Olímpia, CEP 04552-000, in São Paulo city, São Paulo, ("Company" or "Cyrela"), communicate, in refference to the Material Fact dated of July 23, 2020, it has been published on this date the Notice to Market and the Preliminary Prospectus referred to the initial public offering of primary and secondary ordinary shares of Plano & Plano Desenvolvimento Imobiliário S.A. ("Plano & Plano") issue, to be released in Brazil, in the terms of the Brazilian Securities Commission ("CVM") Instruction nº 400 from December, 2009, including placement efforts (i) in the United States of America, exclusively to qualified institutional buyers that are residents of the United States of America, pursuant to the 144A of the U.S. Securities Act from 1933 in the United States of America, published by the U.S. Securities and Exchange Commission ("SEC"), as amended ("Securities Act"), in operations with the exempt of the registering in the United States of America, in accordance with Securities Act, and also in the terms of any other federal and state rules of the United States of America about securities; and (ii) in other countries, except the United States of America and Brazil, to investors that are considered nonresidents in the United States of America or are not established in accordance with the laws of this country in the terms of the Regulation S, published by SEC in the Securities Act, observing the respective laws of each investor residence country ("Offer").
