CNRP Mining Inc. entered into a non binding letter of intent to acquire Gorilla Resources Corp. on April 10, 2012. CNRP Mining Inc. signed a definitive agreement to acquire Gorilla Resources Corp. on May 1, 2012. Gorilla will issue 38.8 million of its common shares to CNRP Mining. Post transaction, name of Gorilla Resources Corp will be changed to Winston Mining Inc. and the proposed new trading symbol will be WRW. Danny Wettreich will be appointed as Chairman and Chief Executive Officer of the merged company heading new Board of Directors. The transaction is subject to approval of shareholders of Gorilla, approval of shareholders of CNRP, exchange approval, court approval and dissenters rights limited to 1%. Prior to the closing of the transaction, Gorilla will spin off to its present shareholders all its interest in certain mining exploration properties in the Yukon. Gorilla will transfer its Yukon properties to two subsidiaries, one subsidiary with the portion of Yukon properties with gold prospects and one subsidiary with nickel prospect properties. As of June 21, 2012, the shareholders of Gorilla approved the deal. The deal has been unanimously approved by Board of Gorilla. Gorilla will acquire all of the issued and outstanding shares of CNRP in consideration for the issuance of a total of 51.8 million common shares of Gorilla at a deemed price of CAD 0.25 per share and the private sale to Daniel Wettreich of 8.5 million common shares of Gorilla. The shareholders of Gorilla (other than Donald R. Sheldon, the Chairman, a Director and shareholder of Gorilla) also passed an ordinary resolution for the repayment of up to CAD 0.1 million of the outstanding CAD 0.13 million loan owed by Gorilla to Sheldon and the conversion of the balance loan into 0.11 million common shares of Gorilla. The transaction is intended to close on June 22, 2012. The shares of Gorilla are expected to trade on the Canadian National Stock Exchange (CNSX) on June 25, 2012. CNRP Mining Inc. completed the acquisition of Gorilla Resources Corp. on June 22, 2012.
